Ownership:- This Product and the documentation involved in it is valuable property of M/s Roots Infocomm Ltd. ROOTS will grant a Non-Exclusive License to use this software.

Use of Software:- The user can install this software on a Hard Disk Drive or other Storage Devices; Install and use the Software on server for use on a Network for the purposes of (a) permanent installation onto hard disks or other storage devices or (b) use of the Software over such network; and make backup copies of the Software. It is to be noted that users cannot distribute the software without our written consent.

Copyright:- The software is owned by ROOTS, and its structre, organisation and code are the valuable trade secrets of ROOTS. Purchasing User Licenses of this product does not mean any rights of ownership.

Restrictions:- The users cannot Modify, Adapt, Translate, Reverse Engineer, De-Compile, Disassemble or otherwise attempt to discover the source code of Software.

No Warranty:- The Software is being delivered by you AS IS and ROOTS makes no warranty as to its use or performance. ROOTS DO NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR DOCUMENTATION, ROOTS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT OF THIRD PARY RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICLAR PURPOSE. IN NO EVENT WILL ROOTS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF AN ROOTS REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.

Upgrades:- Upgrades will be provided on a request from the user whenever sought. ROOTS will issue a separate quotation after taking over its feasibility study.

Payment:- We will raise an Invoice against the purchase order or User Licences in advance and 75% of the payments will be recieved in advance along with the job comencement letter. Rest amount will be received after completing Training Program. Interest @ 20% will be charged in case of any late payments.

Force Major:- Failure to service can subject to force major also.

Jurisdiction:- All disputes are subjected to Ludhiana Jurisdiction only
